1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of OpenLine (the "Service"), a missed-call text-back and SMS automation platform for service businesses. By creating an account or otherwise using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.
OpenLine is currently operated by an individual based in Brazil, providing the Service to customers in the United States, and is not yet organized as a formally registered legal entity.

References to "OpenLine," "we," "us," and "our" in these Terms refer to this operator.
2. Description of the Service
OpenLine helps service businesses avoid losing customers to missed phone calls. The Service:
- Receives call event data from your phone provider via our telephony provider, Twilio, and automatically sends a text message (SMS) to callers you were unable to answer, on your behalf.
- On the AI Concierge plan, uses a third-party AI model (provided by Anthropic) to continue the SMS conversation with your callers, answer questions using information you configure (services, pricing, business context), and attempt to schedule appointments.
- Can connect to your Google Calendar to automatically create calendar events for appointments booked through the Service.
- Provides a dashboard for you to view missed calls, conversations, and appointments, and to configure how the Service represents your business.
Features, pricing, and plan limits may change over time. We will make reasonable efforts to notify you of material changes.
3. Accounts
You must provide accurate, current information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You must be authorized to act on behalf of the business you register.
4. Your Responsibility for Lawful Use of Automated Messaging
The Service sends automated text messages to phone numbers you provide or that call your business ("your Leads" or "your Customers"). Federal and state law — including, without limitation, the Telephone Consumer Protection Act (TCPA) and similar telemarketing or messaging regulations — impose requirements around consent, opt-outs, and the content of automated communications.
You, and not OpenLine, are solely responsible for:
- Ensuring you have a lawful basis (such as prior express consent, an existing business relationship, or another applicable exemption) to send automated SMS to anyone who contacts your business or is contacted through the Service;
- Complying with the TCPA and any other federal, state, or local law applicable to your business, your industry, and your use of automated messaging;
- Honoring opt-out requests and any other rights your recipients may have;
- The accuracy and legality of any message templates, AI-generated context, pricing information, or business information you configure in the Service.
OpenLine provides the tools to send and manage these messages but does not provide legal advice and makes no representation that use of the Service, by itself, satisfies your compliance obligations. If you are unsure about your obligations, consult a qualified attorney before using the Service.
5. AI-Generated Content
On the AI Concierge plan, replies to your Leads may be generated automatically by a third-party AI model, based on information and instructions you provide (such as your services, pricing, tone, and business context) and the content of the conversation. AI-generated content:
- May contain errors, inaccuracies, or responses that do not reflect your intentions;
- Is only as accurate as the pricing, services, and business context you configure — you are responsible for reviewing and keeping this information correct;
- Should be periodically reviewed by you; the Service provides conversation logs for this purpose.
OpenLine disclaims liability for losses arising from inaccurate, incomplete, or inappropriate AI-generated messages, to the maximum extent permitted by law, except where caused by OpenLine's gross negligence or willful misconduct.
6. Fees, Billing, and Cancellation
Paid plans are billed on a recurring monthly basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method automatically each billing cycle until you cancel.
- You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current billing cycle; you retain access to paid features until then.
- Fees already charged are non-refundable, including for partial billing periods, except where required by law or at our sole discretion.
- We may change our pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
- Failure to pay may result in suspension or termination of your account.
7. Intellectual Property
You retain all rights to the data you input into the Service and the data collected on your behalf from your Leads ("Your Data"). You grant OpenLine a limited license to use Your Data solely to provide and improve the Service for you.
OpenLine and its licensors retain all rights, title, and interest in and to the Service itself, including its software, design, and underlying technology. Nothing in these Terms transfers any OpenLine intellectual property to you.
8. Third-Party Services
The Service relies on third-party providers, including Twilio (telephony/SMS), Anthropic (AI language processing), Google (Calendar integration), and Stripe (payment processing). Your use of these integrated features is also subject to the applicable third party's own terms. OpenLine is not responsible for outages, errors, or changes in these third-party services that affect the Service. See our Privacy Policy for more on how these providers process data.
9. Termination
We may suspend or terminate your account if you violate these Terms, misuse the Service, fail to pay applicable fees, or use the Service in a way that creates legal or compliance risk (including violations of telemarketing or messaging laws). You may terminate your account at any time. Upon termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that messages will always be delivered.
11. Limitation of Liability
To the maximum extent permitted by law, OpenLine will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. OpenLine's total liability for any claim related to the Service will not exceed the amount you paid to OpenLine in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify and hold OpenLine harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your failure to comply with applicable telemarketing, messaging, or privacy laws in connection with messages sent through the Service.

14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email and/or by posting a notice in the Service, and update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
